Article 1 - Purpose and Scope

These Terms of Sale (hereinafter "the Terms") govern all sales made through the website https://maisonbrassel.com (hereinafter "the Website") between Creato (hereinafter "the Seller") and any individual of legal age acting as a consumer within the meaning of the introductory article of the French Consumer Code (hereinafter "the Customer").

These Terms apply to the exclusion of all other terms and conditions, including those applicable to business-to-business transactions. They are available at all times on the Website and shall prevail over any other document.

Placing an order on the Website constitutes full and unreserved acceptance of these Terms. The Customer acknowledges having read these Terms prior to placing the order and having accepted them without reservation.

The Seller reserves the right to amend these Terms at any time. The applicable Terms are those in effect on the date the Customer places the order.

Article 3 - Products

3.1 - Product descriptions

The Seller offers for sale, under the Maison Brassel brand, premium watch straps and accessories (cases). Products are described and presented as accurately as possible. However, product photographs are not part of the contract and shall not give rise to the Seller's liability in the event of a slight difference between the delivered product and its visual representation on the Website.

The Seller reserves the right to modify the product range at any time, without prior notice, and without incurring any liability toward the Customer.

3.2 - No affiliation with watch brands

Creato and the Maison Brassel brand are not affiliated with, partnered with, or sponsored by any of the watch brands whose names may appear on the Website, including but not limited to Rolex, Audemars Piguet, Patek Philippe, Cartier, Jaeger-LeCoultre, Omega, and Swatch. These brand names are mentioned on the Website solely for informational purposes, to indicate the compatibility of the straps offered with certain watch models. All brands mentioned are the exclusive property of their respective owners.

Article 4 - Pricing

Product prices are listed in euros (EUR), inclusive of all applicable taxes (TTC). Prices do not include shipping fees, which are displayed to the Customer before final order confirmation.

The applicable prices are those in effect at the time the Customer confirms the order. The Seller reserves the right to change prices at any time, provided that products will be invoiced at the prices in effect when the order was placed, subject to availability.

Article 5 - Orders and Contract Formation

5.1 - Order process

The Customer places an order on the Website by following these steps:

  • Selecting the product(s) and adding them to the cart;
  • Reviewing the cart contents and making any changes if needed;
  • Entering shipping and billing information;
  • Selecting the shipping method;
  • Selecting the payment method;
  • Reviewing the order summary (products, prices, shipping fees, total amount);
  • Accepting these Terms;
  • Confirming and paying for the order.

5.2 - Contract formation

The sales contract is formed when the Customer confirms the order, after accepting these Terms and confirming payment. Order confirmation constitutes acceptance of the prices, quantities, and availability of the products offered for sale.

An order confirmation email is sent to the Customer as soon as practicable after order confirmation. This email summarizes the key order details (products, prices, shipping address, shipping method).

The Seller reserves the right to refuse or cancel any order from a Customer involved in a dispute over payment of a prior order, or in the event of suspected fraud.

5.3 - Contract archival

In accordance with Article L213-1 of the French Consumer Code, the Seller archives sales contracts for amounts equal to or exceeding 120 euros for a period of ten years from the date of delivery or performance of the service. The Customer may access these records upon request to customer service.

Article 6 - Order Cancellation and Modification

The Customer may cancel or modify an order at no charge within twenty-four (24) hours of placing it, provided the order has not yet been prepared or shipped. To do so, the Customer should contact customer service by email at contact@maisonbrassel.com, including the order number.

After the twenty-four (24) hour window, the order enters preparation and can no longer be canceled before shipment. The Customer retains the legal right of withdrawal for fourteen (14) days after receiving the product (Article 10 below) as well as the extended commercial return period of thirty (30) days (Article 11 below).

If canceled within the twenty-four (24) hour window, the refund is issued in full, including shipping fees, within a maximum of fourteen (14) days using the same payment method used for the order.

Article 7 - Product Availability

Product offers are valid while supplies last. If a product becomes unavailable after an order has been placed, the Seller will notify the Customer as soon as practicable by email. The Customer may then cancel the order and receive a refund of all amounts paid within fourteen (14) days of being notified of the unavailability, in accordance with Article L216-2 of the French Consumer Code.

Article 8 - Payment

8.1 - Accepted payment methods

The Customer may pay for an order using the following payment methods:

  • Credit or debit card (Visa, Mastercard, etc.)
  • Apple Pay
  • PayPal
  • Klarna
  • Bancontact

Payments are processed securely through Shopify Payments and partner payment providers. The Seller does not have access to the Customer's banking information, which is transmitted directly to payment providers in encrypted form.

8.2 - Interest-free installment payments

Subject to eligibility, the Customer may choose to pay in three (3) interest-free installments through a partner payment provider. This payment option is governed by the provider's own terms and conditions. The total order amount is divided into three equal installments. The first installment is charged at the time of order confirmation; subsequent installments are charged according to the schedule provided to the Customer at enrollment.

8.3 - Payment due date

Payment is due immediately upon placing the order, except in the case of installment payments (Article 8.2). The order will only be processed once full payment has been confirmed, or once the first installment has been confirmed in the case of a 3-installment plan.

8.4 - Retention of title

The Seller retains full ownership of the products sold until the purchase price has been paid in full, including all ancillary costs. Accordingly, if the Customer becomes subject to receivership or liquidation proceedings, the Seller reserves the right to claim the products as part of the insolvency proceedings.

Article 9 - Delivery

9.1 - Delivery zones and methods

The Seller delivers products to the following areas: France, international destinations, and the United States. Two shipping options are available:

  • Standard shipping: free of charge, estimated delivery in 3 to 5 business days;
  • Express shipping: EUR 9.99, estimated delivery in 2 to 3 business days.

The delivery times listed above are estimates and do not include order processing time. They begin on the date the order is actually shipped. For further information, the Customer is invited to review the shipping policy available on the Website.

9.2 - Delivery delays

If delivery is delayed by more than thirty (30) days beyond the estimated delivery date (except in cases of force majeure), the Customer may terminate the contract by registered letter with acknowledgment of receipt or by written notice on another durable medium, provided the Customer has first requested that the Seller complete delivery within a reasonable additional period and delivery has not been made within that period, in accordance with Articles L216-6 and L216-7 of the French Consumer Code. The Customer will then be refunded the full amount paid within fourteen (14) days.

9.3 - Transfer of risk

In accordance with Article L216-4 of the French Consumer Code, risk transfers to the Customer when the Customer (or a third party designated by the Customer, other than the carrier) takes physical possession of the product. However, risk transfers to the Customer upon handover of the goods to the carrier when the Customer has arranged delivery independently and the choice of carrier was not offered by the Seller.

9.4 - Inspection upon receipt

The Customer is encouraged to inspect the condition of the package and products upon receipt. If any damage is found at the time of delivery (damaged package, missing or damaged product), the Customer should note reservations with the carrier and notify the Seller as soon as practicable by contacting customer service at contact@maisonbrassel.com.

Article 10 - Right of Withdrawal

10.1 - General principle

In accordance with Articles L221-18 et seq. of the French Consumer Code, the Customer has fourteen (14) calendar days from the date of receiving the product (or the last product in the case of an order consisting of multiple products delivered separately) to exercise the right of withdrawal, without having to provide any reason or pay any penalty.

10.2 - Exercising the right of withdrawal

To exercise the right of withdrawal, the Customer must notify the Seller of the decision by means of an unambiguous statement, for example by using the standard withdrawal form provided below, or by any other means (email to contact@maisonbrassel.com, postal mail to the Seller's registered address).

10.3 - Effects of withdrawal

If the right of withdrawal is exercised, the Seller will refund all amounts paid by the Customer, including the initial shipping charges (excluding any additional charges resulting from the Customer's choice of a shipping method more expensive than the standard option), no later than fourteen (14) days from the date the Seller is informed of the Customer's decision to withdraw. The refund will be issued using the same payment method the Customer used for the order, unless the Customer expressly agrees otherwise.

The Seller may delay the refund until the returned product(s) have been received, or until the Customer has provided proof of shipment of the product(s), whichever occurs first.

10.4 - Returning products

The Customer must return the product(s) to the Seller without undue delay and in any event no later than fourteen (14) days after communicating the decision to withdraw. Return shipping costs are borne by the Customer, unless the Seller's return policy provides otherwise.

The Customer is only liable for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics, and proper functioning of the goods, in accordance with Article L221-23 of the French Consumer Code.

10.5 - Standard withdrawal form

In accordance with Article L221-5 of the French Consumer Code and the annex to Article R221-1, the standard withdrawal form is reproduced below:

Article 11 - Commercial Returns

In addition to the 14-day legal right of withdrawal, the Seller offers the Customer the option to return products within thirty (30) calendar days of receiving the order (a commercial courtesy exceeding the legal minimum).

To qualify for this extended return period, the product must be returned in its original condition: unused, unworn, and in its original packaging.

The refund is issued within fourteen (14) days after the return is received (or after the Customer provides proof of shipment), using the same payment method used for the order.

For further details on return procedures, the Customer is invited to review the return policy available on the Website or contact customer service at contact@maisonbrassel.com.

Article 12 - Legal Warranties

12.1 - Legal warranty of conformity

The Seller is bound by the legal warranty of conformity as set forth in Articles L217-3 et seq. of the French Consumer Code. The Customer has a period of two (2) years from the date of delivery of the product to bring a claim under this warranty.

Under the legal warranty of conformity, the Customer:

  • has a period of two (2) years from the date of delivery of the product to bring a claim;
  • may choose between repair or replacement of the product, subject to the cost conditions set forth in Article L217-12 of the French Consumer Code;
  • is not required to prove the existence of the defect for a period of twenty-four (24) months following delivery of the product (presumption that the defect existed at the time of delivery, in accordance with Article L217-7 of the French Consumer Code).

The Customer may also choose to invoke the warranty against hidden defects in the goods sold within the meaning of Article 1641 of the French Civil Code. In such a case, the Customer may choose between rescission of the sale or a reduction in the purchase price, in accordance with Article 1644 of the French Civil Code.

12.2 - Legal warranty against hidden defects

In accordance with Articles 1641 et seq. of the French Civil Code, the Seller is bound by the warranty against hidden defects in the product sold that render it unfit for its intended use, or that diminish its use to such an extent that the Customer would not have purchased it, or would have paid a lower price, had the defects been known.

The Customer has a period of two (2) years from the date the defect is discovered to bring a claim under this warranty (Article 1648, paragraph 1 of the French Civil Code). The Customer may choose between rescission of the sale or a reduction in the purchase price, in accordance with Article 1644 of the French Civil Code.

12.3 - Commercial warranty

In accordance with Article L217-15 of the French Consumer Code, the Seller hereby informs the Customer that the products sold on the Website are covered by a commercial warranty of twenty-four (24) months from the date of purchase, covering manufacturing and material defects under normal conditions of use.

This commercial warranty applies in addition to the legal warranties (the two-year legal warranty of conformity under Articles L217-3 et seq. of the French Consumer Code, and the warranty against hidden defects under Articles 1641 et seq. of the French Civil Code) set forth in Articles 12.1 and 12.2 above, and does not limit or affect those legal warranties in any way.

To make a claim under the commercial warranty, the Customer should contact customer service by email at contact@maisonbrassel.com, enclosing proof of purchase. The Seller will, at its discretion, repair or replace the defective product at no cost to the Customer.

12.4 - Applicable legal provisions

In accordance with Article L217-3 of the French Consumer Code: "The seller shall deliver goods that conform to the contract and to the criteria set forth in Article L217-5. The seller is liable for defects of conformity existing at the time of delivery under the conditions of Article L217-4, as well as for defects of conformity resulting from the packaging, assembly instructions, or installation when installation was the seller's responsibility under the contract or was carried out under the seller's supervision."

In accordance with Article 1641 of the French Civil Code: "The seller is bound by the warranty for hidden defects in the goods sold that render them unfit for their intended use, or that diminish their use to such an extent that the buyer would not have purchased them, or would have paid a lower price, had the defects been known."

Article 13 - Liability

The Seller shall not be held liable for failure to perform the contract in the event of force majeure as defined in Article 14 of these Terms, an unforeseeable and insurmountable act by a third party, or fault of the Customer.

The Seller shall not be held liable for indirect damages (such as data loss, loss of opportunity, or lost profits) resulting from the use or inability to use the products.

In all cases, the Seller's liability is limited to the amount of the order in question.

The products offered comply with applicable French law. The Seller shall not be held liable for non-compliance with the laws of the country where the products are delivered, when that country is not France. It is the Customer's responsibility to verify with local authorities whether the products ordered may be imported or used.

Article 14 - Force Majeure

The Seller's obligations under these Terms are suspended in the event of a force majeure event within the meaning of Article 1218 of the French Civil Code, defined as an event beyond the debtor's control that could not reasonably have been foreseen at the time the contract was formed and whose effects cannot be avoided by appropriate measures, preventing the debtor from performing its obligation.

If the force majeure event continues for more than thirty (30) days, either party may terminate these Terms without any compensation being owed by either party.

Article 16 - Personal Data and Privacy

16.1 - Data controller

The data controller for personal data collected on the Website is Creato, whose contact details are provided in Article 2 of these Terms.

16.2 - Data collected and purposes

The Customer's personal data is collected for order management, delivery, customer relations, marketing communications (subject to the Customer's consent where applicable), and compliance with the Seller's legal obligations.

16.3 - Data recipients

The Customer's personal data may be shared with the following recipients:

  • Shopify International Limited, as website host and technical subprocessor;
  • Carriers responsible for shipping orders;
  • Secure payment service providers;
  • Email and marketing communication tools.

16.4 - Data retention periods

The Customer's personal data is retained for the period strictly necessary for the purposes of the processing and in compliance with applicable legal obligations:

  • Data related to order management and the customer relationship: for the duration of the business relationship, then for a period of three (3) years from the last contact with the Customer, for marketing purposes;
  • Data related to invoices and accounting records: ten (10) years from the close of the fiscal year, in accordance with Article L123-22 of the French Commercial Code;
  • Data related to contracts concluded electronically for amounts equal to or exceeding 120 euros: ten (10) years from the date of delivery, in accordance with Article L213-1 of the French Consumer Code;
  • Data collected in connection with the exercise of the right of withdrawal or warranties: for the duration of the exercise period of the relevant right.

After these periods, data is deleted or anonymized.

16.5 - Transfers outside the European Union

Some of the service providers mentioned above may be located outside the European Union. In such cases, data transfers are governed by standard contractual clauses adopted by the European Commission, in accordance with Article 46 of Regulation (EU) 2016/679 (GDPR).

16.6 - Customer rights

In accordance with Regulation (EU) 2016/679 on the protection of personal data (GDPR) and French Law No. 78-17 of January 6, 1978, as amended (the Data Protection Act), the Customer has the following rights regarding personal data:

  • Right of access (Article 15 GDPR);
  • Right to rectification (Article 16 GDPR);
  • Right to erasure (Article 17 GDPR);
  • Right to restriction of processing (Article 18 GDPR);
  • Right to data portability (Article 20 GDPR);
  • Right to object (Article 21 GDPR);
  • Right to set directives regarding the fate of personal data after death (Article 85 of the Data Protection Act).

The Customer may exercise these rights by sending a request by email to contact@maisonbrassel.com or by mail to the Seller's registered address, with proof of identity.

If the Customer encounters difficulties regarding the management of personal data, the Customer has the right to file a complaint with the French Data Protection Authority (CNIL), 3 Place de Fontenoy, TSA 80715, 75334 Paris Cedex 07, website: https://www.cnil.fr.

16.7 - Cookies

The Website uses cookies and tracking technologies in the following categories:

  • Strictly necessary cookies: essential for the proper functioning of the Website (navigation, security, shopping cart). These cookies do not require the Customer's prior consent.
  • Analytics cookies: used to analyze Website traffic and usage for statistical purposes.
  • Functional cookies: enhance the user experience (preferences, language).
  • Marketing and social media cookies: used to display personalized advertisements and offer social media sharing features.

In accordance with CNIL guidelines and the ePrivacy Directive, the Customer's consent is obtained before any non-essential cookies are placed, by means of a cookie management banner. The Customer may update cookie preferences at any time.

Retention periods: cookie consent records are retained for 6 to 13 months; tracking technologies have a maximum lifespan of 13 months; analytics data is retained for a maximum of 25 months.

Article 17 - Intellectual Property

All elements of the Website (text, images, photographs, logos, trademarks, graphic design, illustrations, videos, Website structure) are the exclusive property of Creato or are used under license, and are protected by the provisions of the French Intellectual Property Code.

Any reproduction, representation, modification, publication, or adaptation, in whole or in part, of these elements, by any means or process, is prohibited without the prior written authorization of Creato.

The Maison Brassel brand and logo are the exclusive property of Creato. Any unauthorized use of these elements constitutes infringement subject to penalties under Articles L713-2 et seq. of the French Intellectual Property Code.

Article 18 - Governing Law and Disputes

These Terms are governed by French law.

In the event of a dispute relating to the interpretation or performance of these Terms, the parties shall endeavor to reach an amicable resolution. Failing that, the Customer, as a consumer, may bring proceedings before the competent courts in accordance with the applicable rules of law.

In accordance with Article R631-3 of the French Consumer Code, a consumer Customer may, at their discretion, bring proceedings before one of the courts having territorial jurisdiction under the French Code of Civil Procedure, or before the court of the place where the Customer resided at the time the contract was formed or the harmful event occurred.

Article 19 - General Provisions

If any provision of these Terms is declared null or unenforceable by a final court decision, all remaining provisions shall remain in full force and effect.

The Seller's failure to enforce any provision of these Terms at any given time shall not be construed as a waiver of the right to enforce that provision at a later date.
